Certificate of conduct for legal entities (VOG RP)
In the Netherlands you can use a certificate of conduct for legal entities (Verklaring omtrent het gedrag rechtspersonen, VOG RP, in Dutch) to demonstrate to government agencies, partners, and other businesses the integrity of:
- your company
- directors who hold an important position in your company (for instance directors, partners, associates, or managers)
When applying for a VOG RP the judicial history of a legal entity will be checked by Justis, the Dutch screening authority.
When do you need a VOG RP?
A VOG RP may be required when:
- you enter into a contract or when
- you apply to become a member of a sector organisation
- your company works with confidential data or vulnerable people
How to apply for a VOG RP?
The VOG RP application (in Dutch) must be submitted by a representative of the legal entity to Justis (see address under link) or digitally. The application is subject to a fee. Justis will decide on your application within 8 weeks.
Online application procedure via Message Box
Applying for a Certificate of conduct is a procedure that is subject to the Services Act. You can apply for this document to Justis Department also via Message Box. Message Box is a secure email system that enables you as an entrepreneur to exchange digital messages with Dutch government agencies.
Screening
The Justis Department (Ministry of Justice and Security) screens the applicant for criminal offences relevant to the sector for which the VOG is being applied for. If none are found, Justis issues a VOG RP. If criminal offences are found, the authorities will decide whether these are relevant to your application and whether or not to issue a VOG RP. What if a VOG is denied?
If your application for a certificate of conduct is refused, Justis will let you know in writing. You can then submit your view to them. If Justis decides not to grant you a VOG RP, you can object.
Period of validity
A VOG RP has no fixed validity term. The party requesting your VOG decides how long it will remain valid.
Self-employed professionals
The VOG RP certificate is not meant for self-employed professionals. Instead, they should apply for a certificate of conduct for individuals.
